Draft for attorney review — not yet published. Bracketed [placeholders] must be filled in with counsel before this page goes live.

These Terms of Service (“Terms”) are a legal agreement between you and Grupp LTD. (“Grupp,” “we,” “us,” or “our”) governing your access to and use of the Grupp mobile app, web app, and website (together, the “Service”). By creating an account, accepting an invitation to an Organization, or otherwise using the Service, you agree to these Terms. If you are agreeing on behalf of an Organization, you represent that you have authority to bind that Organization, and “you” refers to both you and the Organization.

If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. By using the Service you represent that you meet this requirement and that you have authority to accept these Terms.

2. The Service

Grupp provides tools for member-based organizations — veteran service organizations, churches, clubs, and similar community groups (each, an “Organization”) — including member management, a social feed, meetings and minutes, calling and messaging, contribution/donation record-keeping, and an administrative dashboard.

How payments work. As described in our Privacy Policy Section 8, the Service lets Organizations record contributions, dues, and donations. For Organizations that have not connected Stripe through the Service, Grupp does not process, transmit, custody, or guarantee any funds — any actual payment happens directly between the payer and the Organization, through whatever means the Organization chooses (cash, check, or the Organization’s own third-party payment tool such as Stripe, PayPal, or Venmo), and Grupp has no responsibility for, and disclaims all liability arising from, those transactions.

For Organizations that connect a Stripe account through the Service (“Stripe Connect”), Grupp uses Stripe to receive in-app card payments on the Organization’s behalf, deduct a transaction fee, and transfer the remainder to the Organization. Card data is collected and processed by Stripe, not Grupp — see our Privacy Policy Section 8 for what payment data Grupp does and doesn’t receive. Use of this payment feature is also subject to Stripe’s own Connected Account Agreement, which the Organization accepts when it completes Stripe’s onboarding.

3. Accounts and Organizations

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • Organization administrators are responsible for the accuracy of information they enter about their Organization’s Members, including contribution records, meeting minutes, and any other Member data, and for having the right to provide that information to us. See “Organizations as Data Controllers” in our Privacy Policy.
  • You must notify us promptly at [legal@yourdomain.com] of any unauthorized use of your account.
  • We may suspend or terminate accounts that violate these Terms, misuse the Service, or pose a security risk.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose, or to harass, threaten, defame, or harm any person;
  • Impersonate any person or entity, or misrepresent your affiliation with an Organization;
  • Upload content that infringes intellectual property, privacy, or other rights of a third party;
  • Upload malicious code, attempt to gain unauthorized access to any part of the Service, or interfere with its normal operation;
  • Use the Service to send unsolicited bulk communications;
  • Scrape, harvest, or otherwise extract data from the Service other than through features we provide; or
  • Use the Service in a way that violates any applicable law or regulation.

We may remove content or restrict access for violations of this section, and we provide a reporting mechanism for users to flag content or accounts that violate these Terms.

5. User Content

You retain ownership of the content you post (posts, photos, videos, messages, and similar content, “User Content”). By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that content solely as needed to operate and provide the Service to you and, where applicable, to your Organization. You are solely responsible for your User Content and represent that you have all rights necessary to post it.

Organization-entered records about Members (see Privacy Policy Section 2.2) are treated as the Organization’s data; the Organization is responsible for that content, and Grupp processes it on the Organization’s behalf and instruction.

6. Calling and Notifications

The Service includes voice/video calling and push notification features. These may use your device’s data connection or cellular network and could incur charges from your carrier or data plan. We are not responsible for call quality issues caused by your network, device, or third-party infrastructure outside our control.

7. Third-Party Services

The Service relies on third-party infrastructure and services, including Amazon Web Services, Firebase (Google), Stripe (for Organizations that connect it to accept in-app payments — see Section 2), and, on our website, Sentry and Trustpilot. Your use of embedded third-party features (e.g., the Trustpilot review widget) or Stripe’s payment forms may be subject to that provider’s own terms. We do not control and are not responsible for third-party services.

8. Intellectual Property

The Service, including its software, design, and branding, is owned by Grupp LTD. or its licensors and is protected by intellectual property laws. Except for the limited license to use the Service as intended, these Terms do not grant you any rights to our trademarks, logos, or other IP. “Grupp” and our logo are our trademarks; you may not use them without our prior written permission.

9. Fees

For Organizations that connect Stripe to accept in-app card payments, Grupp deducts a transaction fee from each payment before transferring the remainder to the Organization, as described in Section 2.

[Exact fee rate/structure is a pricing decision for product/finance, not yet set — confirm before publishing.]

[If Grupp charges Organizations a subscription fee, add pricing, billing cycle, auto-renewal, refund, and cancellation terms here. If currently free/beta, state that clearly and reserve the right to introduce fees with notice.]

10. Termination

You may stop using the Service at any time. An Organization administrator may close the Organization’s account, which may result in deletion or de-identification of associated data as described in our Privacy Policy. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service, with notice where reasonably practicable.

11. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the fullest extent permitted by law, Grupp LTD. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of the Service, even if advised of the possibility of such damages. Our total liability for any claim arising out of these Terms or the Service shall not exceed the greater of (a) the amount you or your Organization paid us in the 12 months before the claim arose, or (b) [$100 / a fixed nominal amount — confirm with counsel].

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify and hold Grupp LTD. harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your User Content, or your violation of these Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of [GOVERNING STATE], without regard to conflict-of-law principles.

[Add arbitration clause / venue / class-action waiver here if desired — confirm enforceability with counsel, especially for consumer users in states with restrictions on mandatory arbitration.]

15. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by email or in-app notice before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable Organization agreement, constitute the entire agreement between you and us regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
  • No Waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
  • Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
